Terms & Conditions

These Terms and Conditions ("Terms") govern your download, installation and use of the AssetForge Local Pro software and related services ("AssetForge", "the Software", "we", "us", "our"), operated by CDI Motorsport ("the Provider"). By downloading, installing or using the Software you agree to these Terms. If you do not agree, do not download or use the Software.

1. Software still in active development

AssetForge is under continuous, active development and is provided on an evolving basis. Features may change, be added or be removed, and you may encounter bugs, incomplete functionality or unexpected behaviour. We make reasonable and genuine efforts to test each release and to prevent errors, data problems and interruptions — but you acknowledge that no software is free of faults and that you use AssetForge understanding its developmental nature.

2. Licence to use

Subject to a valid, active subscription and these Terms, you are granted a non-exclusive, non-transferable, revocable licence to install and use the Software on the number of devices permitted by your subscription. You must not: (a) copy, resell, sublicense, rent or redistribute the Software; (b) reverse engineer, decompile or attempt to extract source code except to the extent permitted by law; (c) circumvent, disable or tamper with licensing, activation or security features; or (d) use the Software unlawfully or in breach of these Terms.

3. Subscription, billing and refunds

AssetForge is provided on a paid subscription basis. Payments, billing, licence-key delivery and renewals are handled by our third-party payment provider, Lemon Squeezy, and are also subject to their terms. Subscriptions renew automatically until cancelled. If your subscription lapses, is cancelled or is refunded, your licence to use the Software ends and access may be suspended or disabled. Refunds are handled in accordance with our refund practices and applicable law.

4. Your responsibilities

You are responsible for: (a) the computer, network, Wi-Fi and devices you run AssetForge on; (b) keeping your login credentials and licence key secure; (c) the accuracy of the data you and your staff enter; (d) maintaining your own backups of your data (see clause 6); and (e) ensuring your use complies with all laws and workplace obligations that apply to you.

5. Safety, inspections and compliance — important

AssetForge is a record-keeping and workflow tool to help you organise asset checks, faults and history. It is not a substitute for proper equipment inspection, maintenance, professional judgement, or compliance with work health and safety laws, manufacturer requirements or regulatory obligations. You must not rely on AssetForge as your sole means of ensuring equipment is safe or compliant. Decisions about whether equipment is safe to operate remain your responsibility and that of your qualified personnel. We accept no responsibility for injury, damage, incidents or non-compliance arising from reliance on the Software.

6. Data storage and backups

AssetForge stores your data locally on the computer you install it on, and includes a working automatic backup feature that saves your data — including your uploaded photos and documents — to a folder you choose. We strongly recommend you make use of it. Importantly, we recommend setting your backup folder to an external or off-site location (such as an external drive, a network drive, or a cloud-synced folder). Keeping backups in a separate place means a single event such as fire, theft, flood or hardware failure will not destroy both your working data and its only copy. While we make reasonable efforts to protect your data, you remain responsible for maintaining your own backups, and we are not responsible for any loss, corruption or unavailability of data, including data lost due to hardware failure, deletion, transfer between computers, operating-system issues, power loss, or your own configuration choices.

7. Availability and updates

Because AssetForge runs on your own hardware and local network, its availability depends on your equipment and setup. We do not guarantee uninterrupted or error-free operation. We may release updates, and may from time to time require an internet connection to validate your licence or to notify you that an update is needed before continued use. We make reasonable efforts to keep the Software working and up to date.

8. Third-party services

AssetForge relies on third-party services, including Lemon Squeezy (payments and licensing) and hosting/maintenance infrastructure. We are not responsible for the availability, performance or acts of third-party providers, but we make reasonable efforts to select and work with reliable providers.

9. Intellectual property

All rights, title and interest in and to the Software, including its code, design, branding and documentation, remain the property of the Provider. These Terms grant you a licence to use the Software only, and do not transfer any ownership to you.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability or non-infringement. We do not warrant that the Software will meet your requirements, be uninterrupted, secure or error-free, or that defects will be corrected — though we make reasonable efforts toward all of these.

11. Limitation of liability

To the maximum extent permitted by law, and given that the Software is still in development, the Provider, its owners and personnel will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, data, goodwill, downtime, or for any injury, property damage or losses of any kind arising out of or connected with your use of, or inability to use, the Software — even if advised of the possibility of such losses. Where liability cannot be excluded, our total aggregate liability to you is limited, to the extent permitted by law, to the amount you paid for the Software in the twelve (12) months before the event giving rise to the claim. We nonetheless make genuine, reasonable efforts to prevent each of the issues described in these Terms from occurring.

12. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred on you by the Australian Consumer Law or any other law that cannot lawfully be excluded or limited. Where our liability for breach of such a guarantee cannot be excluded but can be limited, our liability is limited, at our option, to re-supplying the Software or paying the cost of having it re-supplied.

13. Indemnity

You agree to indemnify and hold harmless the Provider from claims, liabilities, damages and costs arising from your misuse of the Software, your breach of these Terms, or your breach of any law, to the extent permitted by law.

14. Suspension and termination

We may suspend or terminate your access if you breach these Terms, if your subscription ends, or if required for security, legal or maintenance reasons. You may stop using the Software at any time. Clauses that by their nature should survive termination (including liability, disclaimers and intellectual property) will continue to apply.

15. Privacy

AssetForge stores your operational data locally on your computer. Limited information (such as a licence key, an anonymous instance identifier and version details) may be transmitted to validate your licence and to support maintenance and updates. We handle any personal information in accordance with applicable Australian privacy law.

16. Changes to these Terms

We may update these Terms from time to time as the Software develops. The current version will be made available on our website, and your continued use of the Software after changes take effect constitutes acceptance of the updated Terms.

17. Governing law

These Terms are governed by the laws of Queensland, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.
